Welcome to Property Plaza ("Company", "we", "our", "us"). These Terms and Conditions ("Terms", "Terms and Conditions") govern your use of our website and services operated by Spanjaard Advice Agency B.V.

- Listing means a property or service advertised for sale, rent, or exchange on our Service.
- Service refers to the website, application, and any related services offered by Property Plaza.
- Terms and Conditions (also referred to as "Terms") mean these Terms and Conditions that form the entire agreement between you and the Company regarding the use of the Service.
- Third-party Service means any service or content provided by a third party that may be displayed, included, or made available by the Service.
- User means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. We shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.
5.4 Discounts and Promotions
We may, at our discretion, offer discounts, promotional rates, or special offers for our Service. Such promotions may be subject to additional terms and conditions that will be communicated at the time of the offer. We reserve the right to modify or withdraw any discount or promotion at any time without prior notice.
6. Content
6.1 User Content
Our Service allows you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material ("Content"). By providing Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute such Content in any and all media or distribution methods (now known or later developed).

We reserve the right to remove any Content from the Service at any time, for any reason (including, but not limited to, if someone claims you contributed that Content in violation of these Terms), in our sole discretion, and without notice.
6.4 Listings
When requesting listings on our Service:
- You must provide complete and accurate information about the property or service being offered;
- You must have the legal right to list the property or service;
- You must not misrepresent the property or service in any way;
- You must comply with all applicable laws and regulations regarding real estate listings, advertising, and transactions;
- You understand that we do not verify the accuracy of Listings and are not responsible for any inaccuracies.
7. Intellectual Property
7.1 Service Content
The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Spanjaard Advice Agency B.V. and its licensors. The Service is protected by copyright, trademark, and other laws of both the Netherlands and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Spanjaard Advice Agency B.V.
7.2 Feedback
If you provide us with any Feedback, you hereby assign to us all rights in such Feedback and agree that we shall have the right to use and fully exploit such Feedback in any manner we deem appropriate. We will treat any Feedback you provide to us as non-confidential and non-proprietary.
8. Third-Party Services
8.1 Third-Party Links
The Service may contain links to third-party websites or services that are not owned or controlled by Spanjaard Advice Agency B.V. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that Spanjaard Advice Agency B.V. shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.
8.2 Third-Party Tools
Our Service uses the following third-party services:
- Vercel for hosting
- Hetzner for database hosting
- Sentry for analytics
- Facebook Pixel for marketing
- Google oAuth for authentication
- Stripe for payment processing
- Google Maps for mapping services
Your use of these third-party services is subject to their respective terms of service and privacy policies. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.
9. Payments and Fees
9.1 Fees
We may charge fees for certain portions of the Service. You agree to pay all fees and charges specified when you selected the features of the Service. All payments are non-refundable except as expressly set forth in these Terms.
9.2 Payment Methods
We use Stripe as our payment processor. By providing your payment information, you authorize us to charge your payment method for all fees incurred by you. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Service.
9.3 Price Changes
We reserve the right to change our prices at any time. If we change our fees, we will provide notice of the change on the website or via email, at our option, at least 14 days before the change is to take effect.
9.4 Taxes
You are responsible for all taxes (excluding taxes on our net income) related to your use of the Service, including any sales or value-added taxes. If applicable, we will collect and remit sales tax in jurisdictions where we are legally obligated to do so.
9.5 Subscription and Cancellation
You may upgrade or downgrade your subscription plan at any time. When upgrading, you will be charged the new rate immediately. When downgrading, the new rate will apply from the next billing cycle.
You may cancel your subscription at any time with immediate effect. There is no minimum term or notice period required for cancellation. Upon cancellation, you will continue to have access to the Service until the end of your current billing cycle. We do not provide pro-rated refunds for unused portions of the subscription period.
10. Termination
10.1 Termination by You
You may terminate these Terms at any time by closing your account and discontinuing use of the Service. Termination will be effective when we disable your account.
10.2 Termination by Us
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.
10.3 Effects of Termination
Upon termination of your account, your Listings will be removed from the Service and you will lose access to all data associated with your account. We are not responsible for any loss of data or content resulting from the termination of your account.
11. Limitation of Liability
11.1 Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
Spanjaard Advice Agency B.V., its subsidiaries, affiliates, and its licensors do not warrant that:
- The Service will function uninterrupted, secure, or available at any particular time or location;
- Any errors or defects will be corrected;
- The Service is free of viruses or other harmful components;
- The results of using the Service will meet your requirements.
11.2 Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Spanjaard Advice Agency B.V., its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Service;
- Any conduct or content of any third party on the Service;
- Any content obtained from the Service;
- Unauthorized access, use, or alteration of your transmissions or content;
- Whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not we have been informed of the possibility of such damage.
In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, our liability shall be limited to the maximum extent permitted by law.
11.3 Indemnification
You agree to defend, indemnify, and hold harmless Spanjaard Advice Agency B.V., its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:
- Your use of and access to the Service;
- Your violation of any term of these Terms;
- Your violation of any third-party right, including without limitation any copyright, property, or privacy right;
- Any claim that your Content caused damage to a third party.
This defense and indemnification obligation will survive these Terms and your use of the Service.
12. Dispute Resolution
12.1 Governing Law
These Terms shall be governed and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.
12.2 Mandatory Arbitration
Any dispute arising out of or relating to these Terms, or the breach thereof, shall first be settled by arbitration in accordance with the rules of the Netherlands Arbitration Institute (NAI). The arbitration shall take place in Amsterdam, the Netherlands, and the arbitration proceedings shall be conducted in English. You agree that arbitration is mandatory and must be completed before pursuing any other remedies.
12.3 Class Action Waiver
You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. To the fullest extent permitted by law, (i) no arbitration or proceeding shall be joined with any other; (ii) there is no right or authority for any dispute to be arbitrated or resolved on a class action basis; and (iii) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
13. Communication Guidelines
13.1 Proper Rules of Contact
When communicating with other users through our Service, you agree to:
- Maintain professional and respectful communication at all times
- Not send unsolicited messages, spam, or promotional content
- Not harass, intimidate, or threaten other users
- Respect privacy and not share personal information of others without consent
- Respond to inquiries in a timely manner when conducting business
- Not use offensive, discriminatory, or inappropriate language
- Not misrepresent yourself or your authority to act on behalf of a property
13.2 Communication Monitoring
We reserve the right to monitor communications made through our Service to ensure compliance with these Terms. If we determine, in our sole discretion, that your communications violate these Terms, we may take appropriate action, including but not limited to:
- Issuing warnings
- Temporarily suspending your account
- Permanently terminating your account
- Removing offending content
- Reporting violations to appropriate authorities
13.3 Reporting Violations
If you believe another user has violated these communication guidelines, please report the incident to us immediately through our customer support channels. We will investigate all reports and take appropriate action as necessary.
14. General Provisions
14.1 Entire Agreement
These Terms constitute the entire agreement between you and Spanjaard Advice Agency B.V. regarding the Service and supersede all prior and contemporaneous written or oral agreements between you and Spanjaard Advice Agency B.V.
14.2 Waiver and Severability
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
14.3 Amendments
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
14.4 Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may assign or transfer these Terms, at our sole discretion, without restriction.
14.5 Force Majeure
We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor or materials.
14.6 Survival
All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
